1. Acceptance of Terms
By accessing or using Signalzly ("the Service"), operated by Signalzly ("we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.
2. Description of Service
Signalzly is an AI-powered sales development platform that provides:
- Outbound calling via Twilio integration
- AI call transcription and analysis
- Automated follow-up emails and SMS
- Lead scoring and pipeline management
- Meeting scheduling and booking
- CRM integrations (HubSpot)
- Sales analytics and reporting
3. Account Registration
- You must provide accurate and complete registration information
- You are responsible for maintaining the security of your account credentials
- You must be at least 18 years old to use the Service
- One person or entity may not maintain more than one free account
- You are responsible for all activity that occurs under your account
4. Subscription Plans and Billing
Plans
- Starter (Free): Limited features, 1 user, 20 AI minutes/month
- Growth ($99/month): 5 users, 300 call minutes, 500 AI minutes
- Pro ($299/month): 15 users, 1,500 call minutes, 2,000 AI minutes
- Enterprise: Custom pricing, unlimited usage, dedicated support
Billing
- Paid plans are billed monthly or annually via Stripe
- Overage charges apply when usage exceeds included limits (Growth and Pro)
- You authorize us to charge your payment method on file
- Prices may change with 30 days advance notice
Cancellation
- You may cancel your subscription at any time from the billing page
- Cancellation takes effect at the end of the current billing period
- No refunds are provided for partial billing periods
- Upon cancellation, your account reverts to Starter plan limits
5. Acceptable Use
You agree NOT to:
- Use the Service for spam, unsolicited calls, or illegal purposes
- Violate any applicable laws, including telemarketing regulations (TCPA, GDPR)
- Attempt to access other organizations' data
- Reverse engineer, decompile, or disassemble the Service
- Use the Service to harass, abuse, or harm others
- Upload malicious content or attempt to compromise the platform
- Exceed rate limits or abuse API endpoints
- Resell or redistribute the Service without authorization
6. Call Recording and Consent
- You are responsible for complying with all applicable call recording laws
- Many jurisdictions require consent from all parties before recording a call
- You must inform call recipients that the call may be recorded
- Signalzly is not responsible for your compliance with recording consent laws
- We recommend consulting legal counsel regarding your jurisdiction's requirements
7. AI-Generated Content
- AI analysis, summaries, and recommendations are provided as assistance, not advice
- AI-generated content may contain inaccuracies
- You are responsible for reviewing AI outputs before acting on them
- AI-generated emails and SMS require your approval before sending
- We do not guarantee the accuracy of sentiment analysis, lead scoring, or deal predictions
8. Data Ownership
- You retain ownership of all data you upload or create on the platform
- You grant us a limited license to process your data to provide the Service
- We do not sell your data to third parties
- We may use anonymized, aggregated data to improve our AI models
- Upon account deletion, your data is permanently removed within 30 days
9. Third-Party Integrations
When you connect third-party services (Twilio, HubSpot, Google, Stripe), you agree to their respective terms of service. We are not responsible for third-party service availability, data handling, or changes to their APIs.
10. Service Availability
- We strive for high availability but do not guarantee 100% uptime
- We may perform maintenance with reasonable advance notice
- Third-party service outages (Twilio, OpenAI) may affect functionality
- We are not liable for damages caused by service interruptions
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIGNALZLY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.
Our total liability for any claim arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
12. Indemnification
You agree to indemnify and hold harmless Signalzly from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.
13. Termination
- We may suspend or terminate your account for violation of these Terms
- We may terminate accounts that are inactive for more than 12 months
- Upon termination, your right to use the Service ceases immediately
- We will provide 30 days notice before terminating active paid accounts
14. Changes to Terms
We may modify these Terms at any time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Continued use of the Service after changes constitutes acceptance.
15. Governing Law
These Terms shall be governed by the laws of the State of Georgia, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Georgia.
